Padzilly Lead Program Agreement

This Padzilly Lead Program Agreement ("Agreement") is entered into between Padzilly, Inc. ("Padzilly") and the participating loan officer, mortgage broker, lender, or lending institution ("Participant").

By activating the Padzilly Lead Program, Participant agrees to the following terms and conditions.

1. Lead Program

The Padzilly Lead Program allows participating lenders to purchase qualified homebuyer leads generated through the Padzilly platform.

Lead assignment is based on your selected service areas, lead availability, participation limits, and Padzilly's proprietary lead distribution system. Selecting a ZIP code does not guarantee that leads will become available in that area.

Padzilly reserves the right to modify, suspend, or discontinue the Lead Program at any time.

2. Lead Information

Each lead may include information such as:

• Buyer's name

• Telephone number

• Email address

• Desired purchase area

• Preferred language

• Borrower-Stated Credit Range

The Borrower-Stated Credit Range reflects the credit range self-reported by the buyer during the pre-qualification process. It has not been independently verified by Padzilly and is not a credit score, credit report, underwriting decision, or guarantee of loan approval.

3. Lead Pricing

Each lead is sold individually at the price assigned by Padzilly at the time of delivery.

Pricing may vary based on the buyer's stage in the home-buying journey, market demand, geographic location, lead availability, and other proprietary pricing factors.

Lead prices generally range from $40 to $100 per lead, although pricing may change without prior notice.

There are no activation fees, no monthly lead subscription fees, and no minimum purchase requirements.

4. Lead Delivery & Billing

When a qualifying lead becomes available within your selected service area and you are eligible to receive it, the lead will be assigned to your account and the applicable lead fee will be charged using your payment method on file.

All lead sales are final except as provided under Padzilly's Lead Quality Guarantee.

5. Lead Quality Guarantee

Padzilly stands behind the quality of the leads it sells.

If you believe a delivered lead does not meet Padzilly's published Lead Quality Guarantee, you may submit a Lead Review Request within 10 calendar days of delivery.

After review, Padzilly may approve the request and issue an account credit, deny the request if the lead meets our quality standards, or request additional information before making a determination.

Account credits are not redeemable for cash and may only be applied toward future lead purchases.

6. Participant Responsibilities

Participant agrees to:

• Maintain accurate billing information and a valid payment method.

• Contact leads professionally and in a timely manner.

• Comply with all applicable laws.

• Use lead information solely for legitimate mortgage lending purposes.

Lead information may not be resold, transferred, distributed, or used for unrelated marketing activities.

7. Compliance

Participant acknowledges that buyers have provided consent to be contacted through the Padzilly platform.

Participant is responsible for complying with all applicable federal, state, and local laws, including the TCPA, CAN-SPAM Act, FCRA, and applicable privacy and marketing regulations.

8. No Guarantee of Results

Padzilly does not guarantee the number of leads Participant will receive, that any lead will respond, submit a loan application, qualify for financing, close a mortgage loan, or produce any specific business results.

Lead availability varies based on market conditions, buyer demand, and other factors beyond Padzilly's control.

9. Limitation of Liability

Padzilly's sole obligation regarding any disputed lead shall be the account credit provided under the Lead Quality Guarantee, if applicable.

Padzilly shall not be liable for any indirect, incidental, consequential, special, punitive, or lost-profit damages arising from participation in the Lead Program.

10. Changes to this Agreement

Padzilly may update this Agreement or the Lead Program at any time. Continued participation in the Lead Program constitutes acceptance of any updated terms.

11. Governing Law

This Agreement shall be governed by the laws of the State of Delaware.

12. Acceptance

By clicking Activate Lead Program, you acknowledge that you have read, understood, and agree to this Agreement. Your electronic acceptance constitutes a legally binding signature.
